Gadsden Growth Properties – Investigating Potential Lawsuits
Are you concerned about your investment in Gadsden Growth Properties? If so, the securities attorneys at The White Law Group may be able to help you by filing a FINRA Dispute Resolution claim against the brokerage firm that sold you the investment.
Gadsden Growth Properties, Inc., formed on August 11, 2016, reportedly focuses on the “acquisition, development and management of property across retail, medical office and mixed-use investment segments in secondary and tertiary cities in the United States,” according to its website.
The company filed a Form D (private placement) notice of exempt offering of securities in 2018 to raise capital from investors. The total offering amount was $ 2,000,000.00.
In November 2018, the company reportedly signed an agreement to merge with FC Global Realty Inc. to merge the two companies.
Once the merger is complete, the resulting company will reportedly be a publicly traded real estate investment trust (REIT) that is estimated to have more than $175 million in gross assets of real estate investments and shareholder equity of more than $100 million.
Is a Reg D Private Placement Investment Suitable for you?
The White Law Group is investigating the liability that FINRA registered brokerage firms may have for improperly selling alternative investment products like Gadsden Growth Properties to investors.
Private placements are a means for smaller companies to raise capital through the sale of equity or debt securities without having to register their securities with the SEC. These investments are often riskier and more complicated than traditional investments, and are only suitable for high net worth, sophisticated investors.
Broker dealers are required to perform adequate due diligence on any investment they recommend. They must ensure that all recommendations are suitable for the investor. Recommendations should be in line with the investor’s age, risk tolerance, net worth, and investment experience.
Despite the risks of investing in this type of alternative investments, brokerage firms continue to push this type of investment because of the high commissions associated with their sale and creation.
